1.3 Jurisdiction and Governing Law: These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR). Any disputes or claims arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

2. Clinical Disclaimer, Mental Health & Duty of Care
2.1 Educational Nature of Services: Foxworth Institute provides trauma-informed and well-being related education and coaching. We are not a medical facility, nor do we provide clinical mental health therapy, psychotherapy, or psychiatric services.
2.2 No Professional-Client Relationship: Engagement with our Services (including Private Sessions) does not establish a clinical therapist-patient relationship. Our facilitators and practitioners provide educational support and well-being tools, not clinical intervention or medical diagnosis.
2.3 Assumption of Risk: Trauma-informed education can be emotionally intensive. By using our Services, you acknowledge and agree that you are responsible for your own mental health and emotional regulation. To the fullest extent permitted by law, Foxworth Institute disclaims all liability for any psychological distress, mental health crises, or injuries arising from the use of our educational materials or sessions.
2.4 Emergency Services: If you are in crisis or experiencing a mental health emergency, you must contact a qualified medical professional or your local emergency services immediately.
2.5 Safety & Duty of Care: While our services are non-clinical, we prioritise psychological and physical safety. In rare instances where a participant discloses immediate risk of severe self-harm, harm to others, or child abuse, we reserve the right, at our sole discretion, to direct the individual to appropriate emergency resources or notify relevant local authorities in accordance with applicable laws and safeguarding standards.
3. Access, Age Eligibility & Content Maturity
3.1 Individual Purchase Model: Foxworth Institute does not operate on a subscription basis. All Services are purchased individually or as specific packages. Access is limited to the specific Service purchased and is non-transferable.
3.2 Personal Licence: Upon purchase, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your personal, non-commercial use. You agree not to use the Services for public performances, group viewings, or commercial redistribution.
3.3 Age Restrictions & Adult Learning Services:
Adult Services (18+): Our paid online courses, specialised adult intimacy modules, and private consultations are designed strictly for mature audiences aged eighteen (18) and older. By registering for or purchasing an adult Service, you represent and warrant that you are at least 18 years of age.
Free Foundational Resources: Our freely accessible community resources and introductory modules (such as our free course on Consent and Boundaries) are open to general audiences. If you are under 18 years of age, you may access these free foundational resources only with the involvement, knowledge, and consent of a parent or legal guardian.
3.4 Content Maturity & Self-Directed Learning: Our learning materials cover sensitive topics including relationship dynamics, communication, adult intimacy, and trauma-informed recovery. Content ratings, maturity disclosures, and content warnings are provided across course descriptions to support self-directed decision-making. You acknowledge and agree that it is your responsibility to assess whether any material is suitable for your wellbeing prior to viewing.
3.5 Safeguarding Services & Institutional Engagement: Educational services, workshops, or training programmes conducted directly for or involving individuals under 18 within academic or organisational settings are delivered exclusively through formal institutional contracts. These Safeguarding Services operate under dedicated institutional agreements, specialised consent protocols, and strict youth safeguarding frameworks.
3.6 Registration Obligations: You must provide true, accurate, and complete information during registration. Supplying false age or identity information to gain unauthorised access to 18+ restricted Services constitutes a material breach of these Terms and will result in immediate account suspension without refund.
3.7 Service Availability: We strive to keep our platform accessible 24/7, but access may occasionally be interrupted for scheduled maintenance, updates, or emergency repairs. Foxworth Institute is not liable for any service delays, video streaming failures, or temporary unavailability resulting from events beyond our reasonable control, including third-party hosting outages, network infrastructure disruptions, or severe weather.
4. Fees and Payment Processing
4.1 Payment & Taxes: You agree to pay the amount specified at the time of purchase in the currency provided. You represent that you are authorised to use the payment instrument provided. You are responsible for any foreign transaction fees, currency conversion charges, or local taxes levied by your issuing bank or local tax authority.
4.2 Third-Party Payment Processing (Polar): Payments are processed through Polar (our third-party payment provider). By purchasing a Service, you acknowledge that your transaction data is processed by Polar and is subject to their own Terms of Service and Privacy Policy. Foxworth Institute does not store your full credit card information.
4.3 Third-Party Disclaimer & Indemnity: While we select reputable partners who adhere to industry-standard security (such as PCI-DSS), Foxworth Institute is not liable for any data breaches, security failures, technical outages, or losses originating from the systems of third-party providers (including Polar). You agree to release and hold Foxworth Institute harmless from any claims arising out of the processing of your payment by such third parties, to the maximum extent permitted under Hong Kong law.
4.4 30-Day Money-Back Guarantee & Refund Policy: We offer a 30-day money-back guarantee on eligible digital courses and learning products.
30-Day Window: Refund requests must be submitted within thirty (30) calendar days of your initial purchase date.

Exceptions & Discretion: Outside the 30-day window, or for non-standard/custom services (such as completed Private Sessions or bespoke Safeguarding Services), all sales are final, and any partial refunds or credits remain at the sole discretion of Foxworth Institute.
5. Intellectual Property Rights & Copyright Protection
5.1 Ownership of Service Content: All original content, curriculum, video recordings, audio files, workbooks, visual assets, graphics, and branding made available through our Services and website are the exclusive property of Foxworth Institute (Foxworth Services Limited) and are protected under the Copyright Ordinance (Cap. 528) of the laws of Hong Kong SAR and international copyright treaties.
5.2 Permitted Scope of Personal Licence: Upon purchasing or accessing a Service, you are granted a limited, personal, non-transferable, and revocable licence to view and engage with the materials solely for your individual, non-commercial learning. This licence does not grant you ownership of any content.
5.3 Express Restrictions on Use & Distribution: Your purchase or registration grants you streaming access to online materials through our platform. Unless an asset is explicitly designated as downloadable (such as a provided PDF workbook or resource guide), you are strictly prohibited from:
Downloading, capturing, ripping, screen-recording, or exporting video or audio content.
Sharing account credentials, course access links, or downloaded PDF resources with non-registered individuals or third parties.
Utilising any portion of our course materials, Safeguarding Services curriculum, or brand assets for commercial gain, public presentations, corporate training, or resale.
5.4 AI Training & Data Scraping Prohibition: You are strictly prohibited from utilising, scraping, harvesting, or extracting any Service Content—including text, video transcripts, graphics, or audio—for the purpose of training, fine-tuning, developing, or improving any Artificial Intelligence (AI) models, Large Language Models (LLMs), machine learning algorithms, or automated software without our explicit, signed written consent.
5.5 Trademark Protection: "Foxworth Institute," "Intimacy Insights," and our associated logos and visual identifiers are proprietary trade names and marks. You may not use these marks in connection with any product or service without prior written authorisation.
5.6 Enforcement & Remedies: Any unauthorised copying, distribution, or commercial exploitation of our intellectual property constitutes a material breach of these Terms and a violation of applicable copyright laws. Foxworth Institute reserves the right to immediately terminate access without refund and pursue full legal remedies, including statutory damages and legal costs.
6. Community Standards & Psychological Safety
6.1 Commitment to Safety: Foxworth Institute is dedicated to providing a space rooted in psychological safety and mutual respect. This applies to Private Sessions, Safeguarding Services, and any future community forums or group interactions.
6.2 Prohibited Behaviour: You agree to conduct yourself with empathy and respect. You are strictly prohibited from engaging in:
Harassing, demeaning, or discriminatory language.
"Trolling" or intentionally disruptive behaviour that undermines the psychological safety of others.
Breaching the confidentiality of other participants or sharing their private information.
6.3 Right of Exclusion: We reserve the right to immediately remove any individual from a live session, programme, or digital forum who, in our sole discretion, threatens the well-being or safety of the community. No refunds will be provided in these instances.
7. Indemnity and Limitation of Liability
7.1 Indemnity: To the fullest extent permitted by law, you agree to release, indemnify, and hold Foxworth Institute and its officers, employees, and agents harmless from any and all losses, damages, expenses (including reasonable legal fees), and claims arising out of your use of the Services, your connection to the Services, or your violation of these Terms.
7.2 Limitation of Liability: In no event shall Foxworth Institute’s total liability to you for all damages or causes of action exceed the amount you have paid to the Institute in the last six (6) months for the Service in question.

We reserve the right to suspend or terminate your account or access to the Services at our sole discretion, without notice, if we believe you have violated these Terms, engaged in behaviour that is harassing or abusive to our staff or other participants, or infringed upon our intellectual property.
